Terms & Conditions

Last updated: 5 November 2026

1. About these terms

These terms and conditions govern your use of this website and the consulting, project management, procurement, technology, branding, staffing and finance facilitation services offered by Ameliorate ("we", "us", "our").

By using this website or engaging us for a project, you agree to these terms. If you do not agree, please do not use the site or our services.

2. Information on this website

Content on this website is provided for general information about our services. It does not constitute professional, legal, financial, tax, medical or clinical advice, and it is not a quotation or offer capable of acceptance.

Indicative figures, timelines and service descriptions may change. Where a service depends on a third party, such as a supplier, landlord, financier or municipality, outcomes depend on that third party.

3. Quotations and project agreements

A binding engagement only arises once we have issued a written quotation or proposal and it has been accepted in writing, or once both parties have signed a project agreement or scope of work.

Quotations are valid for 30 days unless stated otherwise. They are based on the information you provide and on third-party pricing available at the time. Material changes in scope, site conditions, supplier pricing or regulatory requirements may require an adjusted quotation.

Where scope, fees, payment terms or deliverables are set out in a project agreement, that agreement prevails over these general terms to the extent of any conflict.

4. Your responsibilities

You agree to provide accurate, complete and current information, to give us reasonable access to sites, documents and decision-makers, and to obtain any approvals or consents required for the work.

You are responsible for the accuracy of documents and information you submit, including business registration details, quotations and specifications.

5. Fees and payment

Our fees are set out in the applicable quotation or project agreement, together with payment terms, deposits and milestone payments. Invoices are payable within the period stated on the invoice.

Amounts exclude VAT and disbursements unless stated otherwise. Any third-party costs, statutory fees and supplier charges are for your account and may be payable directly or recovered from you.

Where payment is arranged through a finance provider, approval and terms are determined by that provider. We do not guarantee finance approval, and you remain responsible for any obligations under the finance agreement.

6. Third-party suppliers and hardware

We coordinate vetted suppliers, contractors, software providers and installers on your behalf. Supplier warranties, product warranties and manufacturer guarantees are provided by those third parties and apply according to their own terms.

We are accountable for the coordination and management of the project as described in the project agreement, but we are not the manufacturer of hardware or the licensor of third-party software.

7. Timelines

Timelines are estimates given in good faith. Dates are extended by delays caused by you, suppliers, contractors, landlords, municipalities, utility providers or events outside our reasonable control.

We will notify you of any material delay and its cause as soon as reasonably possible.

8. Cancellation

You may cancel an engagement in writing. On cancellation you remain liable for work performed, non-refundable third-party commitments already made on your behalf, and any cancellation fees stated in the project agreement.

We may suspend or terminate an engagement where invoices remain unpaid, where scope changes cannot be agreed, or where we are required to do so by law.

9. Confidentiality

Each party will keep confidential any non-public information received from the other in the course of an engagement, and will use it only for the purposes of that engagement. This does not apply to information that is public, independently developed, or that must be disclosed by law.

10. Website content and intellectual property

All content, text, design elements, images and branding on this website belong to Ameliorate or are used with permission, and may not be copied, reproduced or republished without our written consent.

Brand assets, reports and documents we create for a client become the client’s property on full payment, unless otherwise agreed in writing.

11. Limitation of liability

To the maximum extent permitted by South African law, we are not liable for indirect, incidental or consequential loss, loss of profit, loss of business opportunity or loss of data arising from your use of this website or our services.

Our aggregate liability under an engagement is limited to the fees actually paid by you for the specific services giving rise to the claim, except where the law does not allow such a limitation.

Nothing in these terms limits liability for fraud, wilful misconduct or gross negligence, or any liability that may not be limited under the Consumer Protection Act, 68 of 2008.

12. Governing law

These terms are governed by the laws of the Republic of South Africa. The parties consent to the jurisdiction of the South African courts.

13. Changes to these terms

We may update these terms from time to time. The version published on this page at the time of your engagement applies to that engagement.
